Welcome to Evntree, an online platform owned and operated by Crowdsauce Ltd, a company registered in England and Wales with its registered office at 128 City Road, London, EC1V 2NX ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Evntree platform available at https://www.evntr.ee, including any related websites, applications, tools, features, and services that reference or link to these Terms (collectively, the "Platform" or "Services").

Please read these Terms carefully. By accessing or using the Platform, registering for an account, or indicating your agreement by clicking "I Agree" (or a similar button or checkbox), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference.

These Terms apply to all visitors, users, and other individuals who register for, access, or otherwise use the Platform ("Users"). By using the Platform, you enter into a legally binding agreement with us. If you do not agree to these Terms, you must not access or use the Platform.

We may update or revise these Terms from time to time. The "Last Updated" date at the top of the Terms will indicate when the latest changes were made. You are encouraged to review the Terms periodically to remain informed of any updates. Your continued use of the Platform after any modifications to the Terms constitutes your acceptance of those changes.

Description of Services

Evntree is a cloud-based event management and audience engagement platform that enables event organisers to establish and maintain an online presence, manage events, and communicate with attendees and supporters. Subject to these Terms, the Platform provides registered event organisers with access to the following core features:

Organisation Microsite / Landing Page Creation

Event organisers may create a dedicated microsite or landing page for their organisation directly within the Evntree Platform. The microsite can operate as a standalone website, fully replacing the organiser's primary site, or function as a supplementary online presence alongside an existing website. The microsite is customisable, allowing organisers to present their brand identity, event portfolio, contact information, and other relevant content.

Event Page Management and Attendee Registration

Organisers can create individual event pages linked to their microsite, detailing event-specific information such as date, time, venue, programme, and special guests. Each event page includes online registration functionality, enabling users to register their attendance or express interest. Organisers can manage registration data through the Platform's administrative interface, subject to applicable data protection laws.

Audience Communication Tools

The Platform enables organisers to send targeted communications to their audience via email, SMS, and WhatsApp, subject to applicable communication and marketing laws. Organisers can use these tools to share event updates, reminders, promotional materials, and post-event follow-ups.

Integration and Flexibility

The Platform may be used as a complete, all-in-one solution for an organisation's online presence or solely for pre-registration and promotional purposes alongside an existing website.

Account Registration and Security

To access and use Evntree's organiser tools, event management features, and communication functions, you must first register for an account. Registration is only available to individuals who meet the eligibility requirements set out in these Terms.

When creating an account, you will be required to provide:

  • A valid and active email address
  • A unique username
  • A secure password
  • Accurate and complete profile information (name, business/organisation name, address, phone number, etc.)

If you are registering on behalf of a business, organisation, or other legal entity, you confirm that you are authorised to bind that entity to these Terms.

You agree to:

  • Ensure all registration details are accurate, current, and complete
  • Update them promptly if they change
  • Maintain the confidentiality and security of your account credentials
  • Accept responsibility for all activity carried out under your account
  • Notify us immediately of any unauthorised access or suspected security breach

Your Representations and Warranties

By registering for, accessing, or using the Evntree Platform and Services, you represent, warrant, and undertake that:

  • All information you provide will be true, accurate, current, and complete, and you will promptly update such information
  • You have the legal capacity to enter into binding agreements and to comply fully with these Terms
  • You are at least 18 years of age and are not considered a minor in your jurisdiction
  • Your access to and use of the Platform will comply with all applicable laws, regulations, and industry standards
  • You will not access the Platform through automated, non-human, or unauthorised means
  • You will not use the Platform for any illegal, unauthorised, fraudulent, or abusive purpose
  • Your use will not cause harm to Evntree, other users, or third parties

Importing Third-Party Contact Lists

As a promoter using the Platform, you may import contact lists obtained from third-party sources for the purpose of sending communications via email, SMS, or WhatsApp. By importing such contact lists, you represent and warrant that:

  • The contact information was collected in compliance with all applicable data protection, privacy, and electronic marketing laws
  • You have obtained all necessary and valid consents, permissions, or other legal bases required to send communications
  • You are solely responsible for ensuring contacts have not withdrawn consent or opted out

Evntree accepts no responsibility or liability for your use of imported contact lists. You agree to indemnify and hold Evntree harmless from any claims, fines, or penalties arising from your failure to obtain or maintain appropriate consents.

Subscription Plans and Payment Terms

Evntree offers a range of subscription plans designed to meet the varying needs of our users. Unless otherwise stated at the time of purchase, each subscription includes a free seven (7) day trial period, after which the applicable billing cycle will commence.

All payments for subscriptions and related services are processed through Stripe, a secure and reputable third-party payment processing provider. By subscribing to any plan or purchasing any service via the Platform, you expressly authorise Evntree to process your payment information through Stripe.

You agree to:

  • Provide complete, accurate, and up-to-date billing, account, and payment information
  • Promptly update such information to ensure we can complete transactions
  • Ensure sufficient funds or credit are available to cover all charges when due

Subscription fees are charged at the rates in effect at the time of your subscription renewal or purchase. We reserve the right to modify our subscription prices or introduce new charges at any time.

Cancellations and Refunds

You may cancel your subscription at any time through your account settings on the Platform. Cancellation requests must be submitted before the end of your current billing cycle to avoid being charged for the next cycle.

All subscription fees are non-refundable, and we do not provide refunds or credits for any partial subscription periods, unused Services, or unused features, except where required by applicable law.

Platform Usage and Prohibited Activities

The Platform is intended solely for lawful, non-political, and non-activist events. Political events, protests, demonstrations, rallies, or any other activities of a similar nature are strictly prohibited from being organised, promoted, or facilitated through the Platform.

For the purposes of this clause, "political events" includes, without limitation:

  • Events organised or sponsored by political parties, candidates, or advocacy groups
  • Activities designed to influence legislation, government policy, or public opinion
  • Rallies, marches, protests, or demonstrations of any kind
  • Any event that Evntree reasonably determines could be politically sensitive, divisive, or likely to cause public disorder

If we determine that you have organised or promoted any prohibited political or protest-related event, we will take immediate action, which may include permanent banning of your account, removal of related content, and reporting to relevant authorities.

General Prohibited Activities

You agree not to:

  • Collect or harvest data without our prior written consent to compile databases or mailing lists
  • Mislead, defraud, or deceive us, event attendees, or other users, including to obtain sensitive information
  • Overuse or place excessive load on the Platform
  • Circumvent, disable, or interfere with security-related features or measures designed to prevent unauthorised access
  • Use the Platform to disparage, harm, harass, abuse, intimidate, or threaten any person
  • Misuse customer support channels or submit false reports
  • Upload or transmit viruses, malware, or any other harmful code, or engage in spam or repetitive posting
  • Access or interact with the Platform using automated means without our prior consent
  • Remove or alter copyright, trademark, or proprietary rights notices, or reverse engineer the Platform
  • Use the Platform to develop or support a competing product or service, or exploit it for unauthorised commercial purposes

Export Controls and Restricted Countries

By accessing and using the Platform, you acknowledge and agree that you are solely responsible for complying with all applicable export control, trade, and economic sanctions laws and regulations.

You represent and warrant that:

  • You are not located in, ordinarily resident in, or accessing the Platform from any Restricted Country (including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine)
  • You are not identified on any applicable government-issued sanctions or restricted parties list
  • You will not use, export, re-export, or transfer the Platform in violation of any applicable laws

Your Content

The Platform may allow you to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or others or on the Platform, including but not limited to promotional materials, text, writings, video, audio, photographs, graphics, comments, suggestions, or personal information (collectively, "User Content").

When you post any User Content, you represent and warrant that:

  • The creation and distribution of the User Content do not infringe any proprietary rights, including copyright, patent, trademark, or trade secret
  • You are the creator and owner of or have the necessary licences and permissions to use and authorise us to use the User Content
  • You have the written consent of each identifiable individual person in the User Content to use their name or likeness
  • The User Content is not unsolicited advertising, promotional materials, spam, or mass mailings
  • The User Content is not obscene, lewd, lascivious, filthy, violent, harassing, libelous, slanderous, or otherwise objectionable
  • The User Content does not ridicule, mock, disparage, intimidate, or abuse anyone
  • The User Content does not promote violence or contain offensive comments connected to race, national origin, gender, sexual preference, or physical handicap
  • The User Content does not violate any applicable law, regulation, or rule

By uploading or posting content to or through the Platform, you grant to Evntree a worldwide, non-exclusive, transferable, sublicensable, royalty-free, fully-paid, irrevocable, and perpetual licence to host, store, use, reproduce, modify, adapt, reformat, publish, transmit, distribute, publicly display, publicly perform, archive, cache, and otherwise exploit such User Content for operating, maintaining, and improving the Platform and Services.

Ownership of Evntree and Our Intellectual Property

Evntree is the sole owner or lawful licensee of all intellectual property rights in and to the Platform, including, without limitation, the underlying source code, object code, databases, functionality, software applications, API integrations, website and microsite designs, templates, page layouts, audio-visual elements, and other materials (collectively, the "Content"), as well as all trademarks, service marks, trade names, and logos (the "Marks").

The Content and Marks are protected by copyright, trademark, trade dress, database rights, design rights, and other intellectual property laws in the United Kingdom and worldwide.

Except as expressly permitted in these Terms or with our prior written consent, you must not:

  • Copy, reproduce, republish, upload, post, publicly display, encode, translate, transmit, distribute, sell, or licence any part of the Platform, Content, or Marks for commercial purposes
  • Modify or create derivative works based on the Platform, Content, or Marks
  • Remove or obscure any copyright, trademark, or proprietary notices from the Content or Marks

Platform Monitoring and Enforcement

We reserve the right, but not the obligation, to take any action we deem necessary to maintain the integrity, security, and proper functioning of the Platform and Services. Such actions may include:

  • Monitoring the Platform for potential violations of these Terms or applicable law
  • Taking appropriate legal or administrative action against any user who breaches these Terms
  • Refusing to publish, limiting access to, or disabling any User Content that violates these Terms
  • Removing or disabling access to files or content that are excessive in size or consume disproportionate system resources
  • Managing the Platform to protect our rights, property, and reputation and to ensure stability

Our Role

Evntree operates solely as an online platform that facilitates the creation of event microsites, event pages, and related communications between event organisers and their potential audience. Our role is limited to providing the technological tools and infrastructure.

We are not the creator, organiser, promoter, manager, or operator of any events hosted or advertised through the Platform. We do not own, control, endorse, or have any involvement in:

  • The planning, management, scheduling, execution, or cancellation of events
  • The content, accuracy, or completeness of event descriptions or communications
  • The quality, safety, legality, or suitability of any event
  • The conduct, actions, or omissions of event organisers, attendees, or third parties

Event Changes

Evntree is not responsible for the cancellation, postponement, rescheduling, or any other change to events hosted or promoted through the Platform. All decisions relating to the cancellation or alteration of an event are made solely by the event organiser.

If an event is cancelled, postponed, or otherwise altered, the organiser is solely responsible for:

  • Providing prompt and accurate notice to registered attendees
  • Communicating any refund, credit, or alternative arrangements directly to attendees
  • Complying with all applicable laws, regulations, and contractual obligations relating to the event change

Privacy and Data Protection

Evntree is committed to safeguarding the privacy and security of our users' personal data. We process personal data in accordance with the Data Protection Act 2018, the UK General Data Protection Regulation (UK GDPR), other retained EU law as applicable in the United Kingdom, relevant international data protection and privacy laws, and our Privacy Policy.

By accessing or using the Platform, you acknowledge and agree to the terms of our Privacy Policy. If you do not agree with our Privacy Policy, you must not use the Platform.

Infringements

We respect the intellectual property rights of others and expect all users to do the same. If you believe that any content available on or through the Platform infringes a copyright that you own or control, you may submit a written notification to us.

Your notification must include:

  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the allegedly infringing material and its location on the Platform
  • Your full name, postal address, telephone number, and email address
  • A statement that you have a good faith belief that the use is not authorised by the copyright owner
  • A statement that the information in your notification is accurate and that you are the copyright owner or authorised to act on their behalf
  • Your physical or electronic signature

Beta Versions and Future Features

From time to time, Evntree may make available certain features, functionalities, or tools on the Platform that are identified as "beta," "pilot," "test," "early access," or similar ("Beta Features"). These Beta Features are provided solely for evaluation and testing purposes and may be incomplete, contain errors or bugs, and may not function as intended.

Evntree may now or in the future develop additional functionalities for the Platform, including a full ticketing and payment processing system powered by Stripe Connect ("Ticketing Feature"). Once released, the Ticketing Feature will enable event organisers to sell tickets directly through the Platform.

Term and Termination

These Terms shall remain in full force and effect for as long as you access or use the Platform. Without limiting any other provision of these Terms, we reserve the right, in our sole discretion and without notice or liability, to deny, restrict, suspend, or terminate access to and use of the Platform to any person, for any reason or for no reason.

Grounds for termination include, without limitation:

  • A violation of these Terms
  • A breach of any representation, warranty, or covenant contained herein
  • A breach of any applicable law or regulation
  • Conduct that may cause harm to Evntree, other users, or third parties
  • Use of the Platform in a manner inconsistent with its intended purpose

Modifications and Interruptions

We reserve the right, at our sole discretion and without prior notice, to change, modify, remove, or discontinue any aspect, content, or functionality of the Platform or Services at any time and for any reason.

We do not guarantee that the Platform will be available or fully operational at all times. From time to time, we may experience technical issues, hardware or software failures, server outages, scheduled or unscheduled maintenance, or other circumstances beyond our control.

Handling Complaints

If you experience any issue, concern, or dispute in connection with your use of the Platform, your first step should be to contact our Customer Support team. Our team is committed to helping you address your concerns and resolve any problems as efficiently as possible.

If you remain dissatisfied with the resolution provided, you may request that the matter be escalated to a supervisor or manager. Should escalation still not result in a satisfactory outcome, you have the right to submit a formal complaint by completing our designated complaint form or by sending a detailed email to our dispute resolution contact address.

Content Updates

The Platform may, from time to time, contain typographical errors, inaccuracies, or omissions, which may relate to event descriptions, pricing, availability, scheduling, promotional offers, or other content. We reserve the right, at any time and without prior notice, to correct or update any such errors, inaccuracies, or omissions, and to update or amend the information displayed on the Platform.

General Disclaimer

The Evntree Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. While we strive to ensure the Platform functions reliably and that information is accurate, Evntree does not guarantee the completeness, accuracy, timeliness, or reliability of any content, event information, pricing, availability, or communications provided through the Platform.

Evntree does not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components. Temporary outages, delays, or disruptions may occur due to maintenance, technical issues, or other causes beyond our control.

Limitations of Liability

To the fullest extent permitted by applicable law, in no event shall Evntree, its parent company, subsidiaries, affiliates, directors, officers, employees, agents, licensors, or service providers be liable to you or any third party for any direct, indirect, incidental, consequential, exemplary, special, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, business interruption, loss of goodwill, or other intangible losses.

Notwithstanding anything to the contrary in these Terms, and to the extent permitted by applicable law, our total aggregate liability to you for any claim arising out of or relating to these Terms, the Platform, or the Services shall be limited to the lesser of (a) the total subscription or service fees actually paid by you to Evntree in the six (6) months immediately preceding the event giving rise to the claim; or (b) the maximum amount permitted under applicable law.

Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless Evntree, its parent company, subsidiaries, affiliates, directors, officers, employees, agents, licensors, and service providers from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your access to, use of, or inability to use the Platform or Services
  • Any content, communications, or materials you upload or post through the Platform
  • Any event you create, promote, manage, or attend using the Platform
  • Your breach of any applicable law, regulation, or code of practice, including data protection and privacy laws
  • Your breach of these Terms
  • Any misuse of the Platform

Your Data

We may retain certain data that you transmit to the Platform for the purpose of managing the performance of our services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Platform.

Electronic Communications, Records, and Signatures

By creating an account on the Platform, using our Services, or communicating with us electronically, you expressly consent to receive all communications from Evntree in electronic form. These communications may include agreements, contracts, notices, disclosures, policies, updates, payment confirmations, invoices, and other information.

You agree that all agreements, notices, disclosures, records, and other communications we provide to you electronically will satisfy any legal requirement that such communications be in writing.

Changes to These Terms

We reserve the right to modify or update these Terms at any time. Any changes made to these Terms will become effective immediately upon their posting on the Platform. It is your responsibility to review these Terms periodically for any updates or modifications.

If you continue to use the Services after any changes to these Terms, it will signify your acceptance of the modified terms.

Governing Law

These Terms, and any non-contractual obligations arising out of or in connection with them, shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of laws principles.

Class Action Waiver and Mandatory Arbitration

You and Evntree agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or your use of our Services will be resolved exclusively and finally by binding arbitration, rather than in court, except as otherwise provided herein.

This arbitration agreement is governed by the laws of England and Wales if you are located in the UK, and by the U.S. Federal Arbitration Act if you are located in the United States.

By agreeing to arbitration, you and Evntree each waive any right to a jury trial in any court proceeding. You and Evntree further agree that all disputes must be brought in your or our individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, private attorney general, or representative proceeding.

General

These Terms, together with our Privacy Policy, any applicable subscription terms, and any additional policies, guidelines, or operating rules posted on the Platform in relation to the Services, constitute the entire agreement and understanding between you and Evntree regarding your access to and use of the Platform and Services.

Our failure to exercise or enforce any right, remedy, or provision under these Terms shall not operate as a waiver of such right, remedy, or provision. If any provision or part of a provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, such provision or part-provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions.
